Fiat to Take 35% Chrysler Stake, Form Global Auto Partnership

an. 20 (Bloomberg) — Fiat SpA, Italy’s largest carmaker, agreed to take a 35 percent stake in Chrysler LLC to expand in the world’s biggest auto market and give the U.S. company access to its small-car technology.

Turin, Italy-based Fiat and Cerberus Capital Management LP, Chrysler’s controlling shareholder, signed a non-binding agreement on the alliance, they said today in an e-mailed statement.

Fiat won’t make any cash payment and isn’t making a commitment for future funding of Chrysler, the statement said. The Italian company will provide platforms to produce fuel- efficient and small cars to be produced at Chrysler plants. The two manufacturers would also share their distribution networks, allowing Fiat to return to the U.S. with its main brands.

The planned partnership is “consistent with the terms and conditions of the U.S. Treasury financing to Chrysler,” according to the statement.

Fiat shares are suspended from trading in Milan.

Fourth quarter net income climbed to $2.71 billion, or 97 cents a share, from $2.37 billion, or 82 cents, a year earlier, the New Brunswick, New Jersey-based company said in a statement today distributed by PR Newswire. Profit adjusted for one-time items of 94 cents a share beat the 92-cent estimate of 13 analysts surveyed by Bloomberg. Revenue fell to $15.2 billion, from $16 billion a year ago.
