George swells stake in DRYS
George Economou.
George Economou’s stake in Nasdaq-listed DryShips has swollen to over 15% after he was handed fresh stock in bonus payments.
Economou, founder and CEO of the shipowner, was awarded 4.5 million restricted DryShips shares related to a past incentive plan and future performance, according to a filing to the US Securities and Exchange Commission (SEC).
His fresh shares are worth $26.64m based on DryShips’ previous closing price of $5.92 per share.
Following the award Economou holds 44.91 million shares in the bulker and drillship owner, which were worth $266m at the close of trading last night in New York.
He now owns 15.8% of the company.
TradeWinds reported last year Economou had built his stake in DryShips back up to 14.5% after selling his holding in offshore drilling arm Primelead for cash and shares.
Although Economou has not sold shares in DryShips, his stake has fallen from 45.5% at the December 2005 initial public offering as the company issued new equity.

Completion of DryShips equity raise directs analysts’ attention to Economou’s method
No sooner had George Economou’s DryShips completed its most recent $475m "at the market" equity raise, than rumours began to swirl that the Greek owner would soon announce plans to sell even more shares.
With its shares count already having expanded sixfold since last autumn – to 258 million from 43 million – and with a prominent analyst renouncing the company with the declaration "enough is enough", is there something wrong with the way Economou is running it? Analyst Omar Nokta of Dahlman Rose is a little more tolerant of the dilutive-shares tactics than was counterpart Doug Mavrinac of Jefferies in his recent gripe. DryShips is doing what it needs to do to generate liquidity and survive the current financial crunch, he says, which is fine as long as investors understand it is no longer the company that became their darling in its rise to $130 per share in 2007.
If that company was like a sports car that reacted nimbly to every move of the dry-bulk spot market, DryShips today is more like a minivan pulling a trailer.
"I don’t think they’re doing anything that’s unacceptable," Nokta said. "They had levered themselves up tremendously and they definitely needed to issue equity. They’re still highly levered. If they hadn’t issued the equity, they’d be nearly insolvent right now. They needed the equity to survive, which has to be the top priority.
"But what makes me laugh is hearing people say: ‘Well, if the market recovers, DryShips can go back to $100 a share!’ Well, no they can’t. When you increase your share count six times, it essentially places a ceiling on how high the stock can go in the future.
"Look at it another way. Let’s say the market rebounds and their fleet, which is now worth about $2bn, becomes worth $3bn. That’s adding $1bn in value. But with 250 million shares outstanding, that’s $4 a share. For the old DryShips, the one with 42 million shares, that’s $24 a share. So you see the limits they’ve placed on themselves." DryShips continues to maintain that it will use the new capital not just to repay debt but for opportunistic acquisitions in the dry-cargo market. Analyst Natasha Boyden of Cantor Fitzgerald continues to be sceptical that this will be its ultimate use. She has an eye on the four drillships DryShips has on order.
"While the company has stated it would be open to using the new capital to expand its dry-bulk fleet, we note that DRYS still needs to secure approximately $1.1bn in additional debt financing for drillships 1837 and 1838, which are expected to be delivered in 2011 and 2012," Boyden wrote. "As such, we continue to believe the proceeds from this offering will help secure the financing for those vessels." Cantor maintains a "sell" rating on the share, which was trading under $7 recently. Nokta rates it a "hold" but it was one of a handful of dry stocks that he did not upgrade in his recent upbeat report on the bulker trade.
